According to Article 34 of the Electronic Transactions Law, the legal value of an electronic contract cannot be denied simply because it is in the form of a data message. Therefore, electronic contracts have the same legal value as paper contracts.
A digital signature is a type of electronic signature. It is information encrypted with the sender's private key and attached to a document to ensure the recipient can identify and authenticate the origin and integrity of the received data. A digital signature is considered the electronic seal of an individual, enterprise, or organization.
The application of electronic contracts in employment contracts is based on the Labor Code 45/2019/QH14 Article 14. Form of employment contracts Employment contracts must be concluded in writing and made in 2 copies, one for the employee and one for the employer, except for the case specified in Clause 2 of this Article. Employment contracts concluded through electronic means in the form of data messages in accordance with the law on electronic transactions are considered as written employment contracts.
Electronic contracts in commerce are based on the Commercial Law: 36/2005/QH11 Article 15. Principle of recognizing the legal value of data messages in commercial activities. In commercial activities, data messages that meet the technical conditions and standards prescribed by law are recognized as having the same legal value as documents.
Electronic contracts in civil transactions are applied based on the Civil Code: 91/2015/QH13 Article 119. Form of civil transactions: Civil transactions conducted through electronic means in the form of data messages in accordance with the law on electronic transactions are considered as written transactions.
